A top lease is a new oil and gas lease that a party takes on a tract while an existing (bottom) lease is still in force, structured to become effective automatically if and when that prior lease expires or terminates.

## How a top lease works
When a tract is already leased but the current lease is nearing the end of its primary term or looks likely to lapse, another operator (or the same one) may offer a top lease — a lease that sits "on top of" the existing one. It typically includes language making it effective only upon expiration or termination of the underlying bottom lease, so the two do not conflict while both exist.
Operators use top leases to secure acreage they want before a competitor can, and to lock in a mineral owner ahead of an open lease auction. For the owner, a top lease can mean a second bonus and a fresh set of terms.
